Terms of Service

1. Nature of the WedneXo Platform

WedneXo is a digital wedding discovery, directory and lead-generation platform operated by Pranav TechLabs ("WedneXo", "we", "us", or "our").

WedneXo primarily facilitates discovery and communication between individuals planning weddings ("Couples", "Users") and businesses or professionals providing wedding-related products and services ("Vendors").

Unless expressly stated otherwise, WedneXo does not itself provide, perform, supervise, manage, or guarantee wedding photography, cinematography, catering, decoration, venue, planning, makeup, entertainment, transportation, accommodation or any other Vendor service.

2. Acceptance of These Terms

These Terms constitute a legally relevant agreement between you and WedneXo concerning your use of the platform, subject to applicable laws of India.

You may accept these Terms by registering an account, verifying your email or mobile number, submitting a Vendor listing, contacting a Vendor through the platform, posting content, or otherwise using WedneXo.

If you use WedneXo on behalf of a business, company, partnership, organisation or other legal entity, you represent that you have the authority to bind that entity to these Terms.

3. Eligibility and Account Responsibility

You are responsible for ensuring that your use of WedneXo is lawful and complies with all applicable laws and regulations.

• You must provide information that is accurate and not misleading.
• You must keep your login credentials confidential.
• You are responsible for activity conducted through your account.
• You must not impersonate another individual or business.
• You must not create accounts for fraudulent or deceptive purposes.

WedneXo may request additional information or verification where reasonably necessary to protect users, Vendors and the integrity of the platform.

4. Vendor Registration, KYC and Verification

Vendors may be required to submit business and identity information for verification or KYC purposes before their listings are published or certain platform features are activated.

Depending on the Vendor and applicable requirements, information may include:

• Business or trade name
• Owner or authorised representative details
• Contact information
• Business address
• PAN, GST or other business information where applicable
• Identity or supporting documents where reasonably required
• Portfolio and business-related information

Vendors are solely responsible for ensuring that information and documents submitted by them are genuine, current, lawful and accurate.

5. Vendor Obligations

Every Vendor agrees that:

• All business information submitted to WedneXo is truthful and current.
• Prices and service descriptions must not intentionally mislead Users.
• Portfolio images and videos must be owned by the Vendor or used with appropriate permission.
• The Vendor will comply with applicable laws and professional requirements.
• The Vendor will honour commitments independently made with customers.
• The Vendor will not intentionally misrepresent availability, qualifications or experience.
• The Vendor will not use WedneXo to commit fraud, spam or unlawful activity.

6. Contracts Between Couples and Vendors

Any agreement, quotation, booking, advance payment, cancellation, refund, deliverable, timeline, service promise or other commercial arrangement entered into between a Couple and a Vendor is solely between those parties.

WedneXo is not a party to such agreements unless expressly stated otherwise in writing.

Users are strongly encouraged to independently verify Vendor credentials, visit business premises where appropriate, review portfolios, obtain written quotations and contracts, and understand cancellation and refund conditions before making payments.

7. Payments, Pricing and Leads

Unless expressly stated on the relevant service page, WedneXo does not act as the Vendor's payment collection agent and does not process payments made directly between Users and Vendors.

Where WedneXo offers paid subscriptions, promotional listings, advertising, featured placement, lead-generation plans or other paid features, additional commercial terms may apply.

WedneXo does not guarantee any minimum number of enquiries, leads, bookings, customers, revenue or return on investment from any listing, subscription or promotional service.

8. User and Couple Responsibilities

Users agree that they will:

• Provide accurate information while submitting enquiries.
• Use the platform for genuine wedding-related purposes.
• Not harass, threaten or abuse Vendors or other Users.
• Not submit fraudulent enquiries or intentionally waste Vendor resources.
• Not misuse Vendor contact information obtained through WedneXo.
• Conduct their own due diligence before entering into any transaction.

9. Reviews, Ratings and User Feedback

WedneXo may allow Users to submit reviews, ratings, comments, photographs or other feedback concerning Vendors.

Reviews must be genuine and must not:

• Be knowingly false or misleading.
• Be submitted in exchange for an undisclosed incentive.
• Be posted by a Vendor about their own business using a deceptive identity.
• Be intended to manipulate ratings.
• Contain threats, hate speech or abusive content.
• Contain unnecessary personal or confidential information.
• Infringe copyright, trademark, privacy or other rights.

WedneXo may, where reasonably appropriate, moderate, edit, restrict, hide or remove content that violates these Terms or applicable policies.

WedneXo does not guarantee that every review or rating is independently verified or factually accurate.

10. User-Generated Content

Users and Vendors may submit text, photographs, videos, logos, descriptions, reviews and other materials ("User Content").

You retain ownership of User Content that you lawfully own. However, by submitting content to WedneXo, you grant WedneXo a non-exclusive, worldwide, royalty-free licence, to the extent necessary to operate and promote the platform, to host, store, reproduce, display, format, moderate and distribute such content.

You represent that you have all necessary rights and permissions required to submit such content and grant the above licence.

11. Intellectual Property and Copyright

The WedneXo name, logo, website design, interface, software, original graphics, text, features and other platform materials are owned by or licensed to WedneXo/Pranav TechLabs unless otherwise stated.

Users and Vendors must not copy, reproduce, scrape, republish, distribute, sell, modify or commercially exploit WedneXo's proprietary materials without prior written permission.

If you believe content displayed on WedneXo infringes your intellectual property rights, you may contact us with sufficient information to identify the relevant content and the basis of the complaint.

12. Prohibited Activities

You must not use WedneXo to:

• Commit or facilitate fraud or unlawful activity.
• Impersonate another person or organisation.
• Upload malicious code or attempt to compromise the platform.
• Scrape, crawl or systematically extract platform data without permission.
• Manipulate search rankings, reviews or listings.
• Upload stolen or unauthorised photographs, videos or trademarks.
• Send spam or unsolicited promotional communications.
• Attempt unauthorised access to another account.
• Use platform information for harassment or abuse.

13. Content Moderation and Platform Integrity

WedneXo reserves the right, subject to applicable law, to review, restrict, remove, disable or otherwise moderate content or accounts where it reasonably believes that the content or activity violates these Terms, applicable law, platform policies or the safety and integrity of the platform.

WedneXo may also cooperate with competent authorities where legally required.

14. Suspension and Termination

WedneXo may suspend, restrict or terminate an account or listing, subject to applicable law, where there is reasonable evidence of:

• Fraudulent or misleading information.
• Failed or suspicious verification.
• Copyright or trademark infringement.
• Fake reviews or manipulation.
• Harassment, abuse or harmful behaviour.
• Violation of these Terms or other platform policies.
• Unlawful activity.
• Security or technical risks.

Termination does not automatically extinguish rights or obligations that by their nature should survive termination.

15. Third-Party Websites and Services

WedneXo may contain links, integrations or references to third-party websites, applications, payment providers, communication services, maps, analytics providers or other external services.

Such third-party services are governed by their respective terms and privacy policies. WedneXo is not responsible for the content, availability, security, policies or performance of third-party services.

16. Platform Availability and Accuracy

We aim to keep WedneXo available and information reasonably accurate, but we do not guarantee that the platform will always be uninterrupted, error-free, secure or completely current.

Vendor availability, prices, offers, portfolios, business status, ratings and other information may change without notice.

17. Disclaimer of Warranties

To the maximum extent permitted by applicable law, WedneXo provides the platform on an "as available" and "as is" basis.

We do not warrant that:

• A Vendor will perform services satisfactorily.
• A Vendor will remain available.
• Information submitted by Vendors will always be accurate.
• A booking or transaction will be completed successfully.
• A User will receive any particular business outcome.
• The platform will always be uninterrupted or error-free.

18. Limitation of Liability

To the maximum extent permitted by applicable law, WedneXo and Pranav TechLabs shall not be responsible for indirect, incidental, special, consequential or punitive losses arising from the use of the platform or transactions between Users and Vendors.

This may include, to the extent legally permitted:

• Loss of profits or revenue.
• Loss of business opportunities.
• Loss arising from cancelled events.
• Loss resulting from Vendor non-performance.
• Loss arising from disputes between Users and Vendors.
• Loss caused by inaccurate Vendor information.
• Loss resulting from third-party services.

Nothing in these Terms is intended to exclude or restrict liability that cannot lawfully be excluded or restricted under applicable law.

19. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless WedneXo, Pranav TechLabs, and their respective owners, directors, employees, contractors and service providers from claims, losses, liabilities, damages, costs and reasonable expenses arising from:

• Your violation of these Terms.
• Your unlawful use of the platform.
• Your User Content.
• Your infringement of third-party rights.
• False or misleading information submitted by you.
• Your disputes or transactions with another User or Vendor.

20. Privacy and Personal Data

WedneXo may collect and process personal information in connection with account registration, enquiries, Vendor listings, verification, communications, security, analytics and operation of the platform.

Our collection and processing of personal data is described in our separate Privacy Policy, which forms an important part of the platform's legal framework.

By using WedneXo, you acknowledge that your information may be processed and shared with service providers, Vendors or other recipients where necessary for legitimate platform functions, contractual purposes, legal compliance or as otherwise described in the Privacy Policy and permitted by applicable law.

Please review the Privacy Policy before using the platform.

21. Electronic Communications

By creating an account or submitting an enquiry, you may receive transactional communications such as account verification messages, enquiry notifications, security alerts and service-related messages.

Where permitted and subject to applicable consent requirements, WedneXo may also send promotional communications. Users may opt out of promotional communications through available unsubscribe or communication preference mechanisms.

22. Changes to These Terms

WedneXo may update these Terms from time to time to reflect changes in the platform, business model, technology, law or regulatory requirements.

The updated version will be published on this page with a revised effective or updated date. Your continued use of WedneXo after an update may constitute acceptance of the revised Terms to the extent permitted by applicable law.

23. Force Majeure

WedneXo shall not be responsible for delays, interruptions or inability to perform platform obligations caused by circumstances beyond its reasonable control, including natural disasters, government actions, internet or telecommunications failures, cyber incidents, infrastructure failures, strikes, epidemics, war or other extraordinary events, subject to applicable law.

24. Severability

If any provision of these Terms is determined to be invalid, unlawful or unenforceable, that provision shall be modified or limited to the minimum extent necessary, and the remaining provisions shall continue to the extent permitted by law.

25. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, subject to applicable mandatory legal rights and jurisdictional requirements.

Subject to applicable law, disputes arising from or relating to these Terms or use of the platform shall be subject to the jurisdiction of the competent courts in Jodhpur, Rajasthan.

26. Grievance Redressal and Legal Complaints

Users may contact WedneXo regarding complaints, policy violations, copyright concerns, account issues, or other legal matters using the contact details published on the platform.

Where applicable under Indian law, WedneXo will maintain and publish the required grievance-related information and follow the applicable complaint handling process.

27. Entire Agreement

These Terms, together with the Privacy Policy, Vendor Agreement, Community Guidelines, applicable payment terms and other policies expressly incorporated into them, constitute the framework governing your use of WedneXo.
