Vendor Agreement

Effective Date: August 20, 2026

Vendor KYC Portfolio Rights Vendor Terms

Important: This Vendor Agreement governs the relationship between WedneXo and businesses or professionals who create, operate or maintain a Vendor profile on the platform. By registering as a Vendor, submitting a Vendor profile, completing KYC, purchasing a Vendor plan or continuing to use Vendor services, you agree to this Agreement and the applicable WedneXo Terms of Service and Privacy Policy.

1. Parties and Purpose

This Vendor Agreement ("Agreement") is between Pranav TechLabs, operating the WedneXo platform ("WedneXo", "we", "us" or "our"), and the individual, business, company, partnership, organisation or professional registering or operating a Vendor profile ("Vendor", "you" or "your").

WedneXo provides an online platform that enables Vendors to present their businesses and connect with individuals and couples seeking wedding-related services.

WedneXo does not itself provide the Vendor's wedding services unless expressly stated otherwise.

2. Acceptance of the Agreement

You accept this Agreement when you register as a Vendor, submit Vendor information, upload Vendor content, complete verification, activate a Vendor profile, purchase a Vendor service or otherwise use Vendor functionality on WedneXo.

If you are registering on behalf of a business or organisation, you represent that you have authority to accept this Agreement on its behalf.

3. Vendor Eligibility

Vendors must provide legitimate wedding-related products or services and must comply with applicable laws, licences, registrations and professional requirements relevant to their business.

WedneXo may refuse or restrict Vendor registration where it reasonably believes that the applicant presents a fraud, safety, authenticity, legal or platform-integrity risk.

4. Vendor Registration and Account Information

Vendors must provide accurate, complete and current information when creating or maintaining a Vendor account.

This may include:

  • Business name
  • Owner or authorised representative
  • Business contact details
  • Business address
  • Service locations
  • Business category
  • Services and packages
  • Pricing information
  • Portfolio
  • Website and social media links
  • Tax or business information where applicable

Vendors are responsible for promptly correcting information that becomes inaccurate or outdated.

5. KYC and Vendor Verification

WedneXo may require Vendors to complete identity, business or KYC verification before activating or continuing certain Vendor features.

Verification may involve documents or information reasonably required to establish the identity or legitimacy of the Vendor or business.

Verification does not mean guarantee. A Verified badge or verification status means only that WedneXo has completed certain checks according to its verification process. It does not guarantee the Vendor's quality, performance, financial condition, availability, legality, conduct or customer satisfaction.

WedneXo may request additional verification information or re-verification where reasonably necessary.

6. Vendor KYC Documents and Confidential Information

Vendors must not upload confidential identity documents, passwords, financial credentials or other sensitive information in fields intended for public profile content.

KYC documents submitted through designated verification channels may be processed for verification, security, fraud prevention, compliance and related legitimate purposes as described in the WedneXo Privacy Policy.

WedneXo may retain verification records for periods reasonably necessary for legitimate business, security, dispute resolution or legal purposes, subject to applicable law.

7. Vendor Profile and Listing

Vendors are responsible for the accuracy of their profiles, descriptions, prices, packages, contact information, service areas, photographs, videos and other listing information.

WedneXo may format, resize, crop, categorise, moderate or otherwise technically modify submitted content for proper display on the platform without changing its substantive meaning.

WedneXo may also determine how Vendor listings are displayed, categorised or ranked based on platform design, relevance, completeness, user experience, commercial arrangements and other legitimate factors.

8. Portfolio Images, Videos and Intellectual Property

Vendors must upload only photographs, videos, logos, graphics, text and other materials that they own or are legally authorised to use.

By uploading content to WedneXo, the Vendor represents that the submission does not unlawfully infringe copyright, trademark, privacy, publicity or other rights of any person.

The Vendor retains ownership of content it lawfully owns. However, the Vendor grants WedneXo a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, format, distribute and promote that content as reasonably necessary to operate and market the WedneXo platform.

Copyright Responsibility: If a Vendor uploads photographs, videos, logos or other material without the necessary rights or permissions, the Vendor is responsible for resulting claims, disputes and consequences, subject to applicable law.

9. Vendor Responsibility for Customer Rights

Vendors are responsible for obtaining any permissions or releases required for photographs, videos, testimonials or other materials they upload, particularly where identifiable individuals appear in such materials.

Vendors should not upload private, confidential or sensitive customer information without appropriate authority or lawful basis.

10. Leads and Customer Enquiries

WedneXo may provide Vendors with enquiries submitted by Couples or other users who are interested in their services.

Vendors agree to use lead information only for legitimate business communication related to the enquiry and applicable services.

Vendors must not:

  • Sell or resell lead information.
  • Use lead information for unrelated spam.
  • Share lead information with unauthorised third parties.
  • Harass or repeatedly contact users who have requested no further communication.
  • Use lead data for unlawful purposes.

No Lead Guarantee: WedneXo does not guarantee any minimum number of enquiries, leads, bookings, customers, revenue or business results from a Vendor listing, subscription or promotional service.

11. Relationship Between Vendor and Customer

Any quotation, booking, service agreement, payment, cancellation, refund, deliverable, timeline, warranty or other commercial arrangement between a Vendor and a Couple is solely between those parties unless WedneXo expressly states otherwise.

Vendors are solely responsible for the services they provide to customers, including their quality, pricing, availability, contracts, employees, subcontractors, equipment, licences and legal compliance.

WedneXo is not a party to Vendor-Customer contracts merely because the customer discovered or contacted the Vendor through WedneXo.

12. Vendor Pricing and Service Information

Vendors are responsible for ensuring that displayed prices, packages, offers, inclusions, exclusions, taxes, availability and service descriptions are accurate and not intentionally misleading.

Vendors must clearly communicate additional charges or conditions directly to customers before entering into a binding commercial arrangement.

13. Vendor Payments to WedneXo

Where WedneXo offers paid Vendor services such as subscriptions, featured listings, advertising, promotional placements or lead-generation plans, the Vendor agrees to pay the applicable fees shown at the time of purchase or otherwise agreed in writing.

Additional payment, renewal, cancellation and refund terms may apply to the relevant Vendor plan or order.

Unless expressly stated otherwise, paying for a listing or promotional service does not guarantee any particular search position, number of leads, bookings or revenue.

14. Featured Listings and Promotional Placement

WedneXo may offer Vendors paid promotional features, including featured listings, sponsored placement, priority display, promotional badges or other visibility products.

Such services may affect how a listing is displayed but do not constitute an endorsement or guarantee of Vendor performance.

WedneXo may modify, suspend or discontinue promotional products subject to applicable contractual or payment terms.

15. Reviews and Ratings

Vendors must not create, purchase, manipulate or encourage fraudulent reviews or ratings.

Prohibited conduct includes:

  • Creating fake customer accounts.
  • Posting reviews about your own business deceptively.
  • Paying for undisclosed positive reviews.
  • Threatening customers to remove genuine negative reviews.
  • Manipulating ratings through coordinated activity.
  • Submitting reviews for competitors using deceptive identities.

WedneXo may moderate, hide, remove or investigate reviews that appear to violate its policies or applicable law.

16. Prohibited Vendor Activities

Vendors must not use WedneXo to:

  • Commit fraud or deceive customers.
  • Impersonate another business or professional.
  • Upload stolen portfolios.
  • Misrepresent qualifications or experience.
  • Use false business information.
  • Manipulate reviews or ratings.
  • Send spam or abusive communications.
  • Scrape or systematically extract WedneXo data.
  • Attempt unauthorised access to the platform.
  • Upload malicious code or harmful material.
  • Engage in unlawful or unsafe conduct.

17. Vendor Data and Privacy Obligations

Vendors may receive personal information belonging to Couples or other users through enquiries or leads.

Vendors must handle such information responsibly and in accordance with applicable privacy and data protection laws.

Vendors must not use customer information for purposes unrelated to the enquiry without an appropriate lawful basis or permission.

Vendors must take reasonable steps to protect customer information against unauthorised access, misuse, disclosure or loss.

18. Customer Complaints and Disputes

Vendors are primarily responsible for resolving disputes relating to their own services, including service quality, booking, cancellation, refund, delivery, performance or customer payments.

WedneXo may assist with communication or review platform-related complaints where appropriate, but does not guarantee resolution of disputes between Vendors and customers.

19. Vendor Account Security

Vendors are responsible for maintaining the confidentiality of their login credentials and for activity performed through their account.

Vendors must promptly notify WedneXo if they believe their account has been compromised or accessed without authorisation.

20. Verification Badge and Vendor Status

WedneXo may provide verification badges or other trust indicators based on internal verification criteria.

Verification status may be suspended, removed or changed if information becomes inaccurate, verification expires, documents cannot be validated, or the Vendor violates platform policies.

A verification badge must not be represented by a Vendor as a government licence, professional certification, insurance, guarantee or official government approval.

21. Listing Ranking and Visibility

Vendor visibility may depend on factors including relevance, profile completeness, location, category, user experience, reviews, platform activity and applicable promotional arrangements.

WedneXo does not guarantee a permanent or specific position in search results or category pages.

22. Content Moderation and Removal

WedneXo may review, restrict, modify, hide or remove Vendor content where reasonably necessary to protect users, comply with law, enforce platform policies or maintain platform integrity.

Content may also be removed in response to valid intellectual property, privacy, legal or safety complaints.

23. Suspension and Termination

WedneXo may suspend, restrict or terminate a Vendor account or listing, subject to applicable law, where it reasonably believes that the Vendor:

  • Provided false or misleading information.
  • Failed or refused required verification.
  • Uploaded infringing or unauthorised content.
  • Manipulated reviews.
  • Misused customer data.
  • Engaged in fraud or abusive behaviour.
  • Violated this Agreement or other WedneXo policies.
  • Created security or legal risks for the platform.
  • Failed to meet applicable payment obligations.

Where appropriate and permitted by applicable law, WedneXo may provide an opportunity to rectify the relevant issue.

24. Vendor-Initiated Termination

Vendors may request closure of their Vendor account through available account controls or by contacting WedneXo.

Account closure does not automatically cancel outstanding payment obligations, customer contracts, legal responsibilities or other obligations that should survive termination.

25. No Guarantee of Business Results

Important: WedneXo does not promise or guarantee any particular number of leads, enquiries, bookings, customers, revenue, profit, return on investment, ranking or business growth from participation on the platform.

26. Disclaimer of Vendor Services

WedneXo does not independently guarantee the quality, safety, legality, availability, pricing or performance of Vendor services.

Vendors remain solely responsible for their products, services, employees, contractors, equipment, premises, licences, insurance and customer obligations.

27. Indemnification by Vendor

To the maximum extent permitted by applicable law, the Vendor agrees to defend, indemnify and hold harmless WedneXo, Pranav TechLabs, and their respective owners, directors, employees, contractors and service providers from claims, losses, liabilities, damages, costs and reasonable expenses arising from or relating to:

  • The Vendor's breach of this Agreement.
  • False or misleading Vendor information.
  • Vendor services or customer disputes.
  • Vendor's User Content.
  • Copyright or trademark infringement by Vendor content.
  • Vendor's misuse of customer information.
  • Vendor's violation of applicable law.
  • Fraudulent or unauthorised activity by the Vendor.

28. Limitation of WedneXo's Liability

To the maximum extent permitted by applicable law, WedneXo shall not be responsible for indirect, incidental, special, consequential or punitive losses arising from Vendor use of the platform.

This may include losses arising from cancelled bookings, customer disputes, lost profits, lost business opportunities, Vendor service failures, inaccurate Vendor information or third-party services.

Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

29. Third-Party Services

WedneXo may use third-party services for hosting, payments, communication, analytics, verification, maps, security and other technical functions.

Vendor use of such services may also be subject to the relevant third-party terms and privacy policies.

30. Changes to This Agreement

WedneXo may update this Agreement from time to time to reflect changes in its services, business model, technology or legal requirements.

Updated terms will be published on the platform with a revised effective date. Where legally required, WedneXo may provide additional notice or seek renewed acceptance.

31. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of India, subject to applicable mandatory legal requirements.

Subject to applicable law, disputes arising from or relating to this Agreement or the Vendor's use of WedneXo shall be subject to the jurisdiction of the competent courts in Jodhpur, Rajasthan.

32. Severability

If any provision of this Agreement is determined to be invalid, unlawful or unenforceable, the remaining provisions shall continue to the extent permitted by applicable law.

33. Relationship of the Parties

Nothing in this Agreement creates a partnership, joint venture, employment relationship, agency relationship or franchise relationship between WedneXo and the Vendor unless expressly agreed in writing.

Vendors operate their businesses independently and are solely responsible for their own business decisions and obligations.

34. Entire Agreement

This Agreement, together with the WedneXo Terms of Service, Privacy Policy, applicable payment terms, Community Guidelines, Copyright/IP Policy and other policies expressly incorporated by reference, forms the contractual framework governing the Vendor's use of WedneXo.

Vendor Acceptance

By registering, activating or continuing to operate a Vendor account on WedneXo, the Vendor confirms that it has read, understood and agreed to this Vendor Agreement, the WedneXo Terms of Service and Privacy Policy.

Vendors should retain a copy of this Agreement for their records.
